He handles large number of cases such as stock acquisition, mergers and corporate division, setting up a holding company, and going private regardless of industry or listed/unlisted.
In addition, he deals with derivative actions and serves as a member of third party committees on corporate scandals and investigation committees. He is specialized in corporate compliance and risk management and assumes an office of external director and auditor.

In relation to finance, he handles contract practices in structured finance and syndicated loans from lender’s side, arranger’s side and borrower’s side.

In relation to real estate, he is also engaged in ordinary real estate transaction, lease transaction, structure formulation and contract practices regarding real estate securitization.

In relation to IPO, he has a wide range of practical experiences as a legal adviser of lead managing underwriters and of companies going to be listed. Also, he often serves as a lecturer for seminar about IPO.

In relation to cross-border legal services, Mr.Tsuda is engaged in overseas expansion -especially into China, Hong Kong, and the other Asian countries, cross-border M&A, cross-border transaction, due diligence of and advising for overseas subsidiaries, dispute resolution with foreign companies, Investment in Japan by foreign companies.

In relation to bankruptcy/restructuring, he often serves as a bankruptcy trustee and handles petitions for bankruptcy (both corporate and individual), cross-border insolvency matters, private arrangement and legal liquidation including corporate reorganization.

Investment in Japan by foreign companies:
In relation to investment in Japan by foreign companies, he provides a wide range of services both in English and Chinese regarding Japanese Laws, transactions with Japanese companies, and variety of legal matters in Japan.

In relation to intellectual properties, he deals with infringement cases, and drafting contracts for protecting intellectual property rights.

In relation to M&A, Mr. Arai is widely engaged in stock acquisition, merger, corporate division, share transfer, or business transfer, etc, regardless of industries or measures.

In relation to finance, he is involved in many finance cases such as syndicated loans, LBO financing and trust structuring.

In relation to dispute and litigation, he deals not only with commercial disputes between companies, but also with disputes relating to infringement of intellectual property rights and customer problems in BtoC businesses.

In relation to finance, he is engaged in a wide range of financial practices, including contracting practices for traditional transactions such as syndicated loans and structured finance, as well as scheduling and contracting for new financial businesses and financial services.

In relation to dispute and litigation, he has practical experiences not only in ordinary civil litigation and commercial disputes between companies, but only in special legal proceedings such as non-contentious case and provisional disposition related to the corporate laws, securities litigation and financial ADR related to the Financial Instruments and Exchange Law, and litigation and mediation related to real estate.

In relation to M&A, Mr. Takahashi is widely engaged in legal due diligence, structuring schemes, drafting contracts, advises for closing, regardless of industry or listed/unlisted.

In relation to general corporate legal affair, he engages in a wide range of general corporate business contract practices as well as legal matters for venture start-up companies, such as, consulting on new business schemes, drafting contracts, preparation of internal regulations, and providing legal support for IPO.
